Terms of Service

Use of this webSites and other iCentro Sites (i.e., learning management system, social network, etc.) (the “Sites”) is conditional on the terms and conditions set forth below. By accessing or using materials from the Sites, you agree iCentro Corporation. (“iCentro”) to abide by these terms and conditions on behalf of yourself and any entity for which or whom you may act. If you do not agree to these terms and conditions, you should not use the Sites or materials from it.

Acceptable Use Policy

Personal and commercial users may browse, receive email notifications and subscribe to RSS feeds from iCentro without prior written authorization. Website owners may incorporate RSS feeds from the Sites into their websites only if these prior conditions are met: (a) their Sites does not display adult content, illegal materials or pages consisting mainly of sponsored links; (b) the code for our RSS feed is used without alteration; and (c) they do attempt to compile data (including Members’ data) from our Sites for publication, whether online or in print or in any other media.

Third Party Content

iCentro does not control the content of third-party sites that are provided for reference purposes. Linked and bookmarked pages and resources may change or disappear entirely for reasons beyond iCentro’s control. iCentro assumes no responsibility for links, bookmarks, websites or other content contained on its Sites.

Copyright & Intellectual Property

You agree not infringe the copyright owned or licensed by iCentro, member descriptions, directory and network information and related content found on the Sites. You agree to respect all intellectual property rights that iCentro holds in the Sites, including any trade marks or copyright material that iCentro may own or license. The Sites’ proprietary search algorithms, technical and workflow processes are the exclusive intellectual property of iCentro. You agree not to decompile or reverse-engineer such algorithms or technical or workflow processes.

Editorial Content

iCentro owns or licenses the copyright in the extended editorial content that is presented on its Sites. While iCentro strives to ensure the accuracy of this editorial material, it cannot guarantee its accuracy and takes no responsibility for errors. iCentro reserves the right to correct, change, replace or delete any of this editorial content at any time and without notice to the user.

Changes to Services

iCentro may modify, change or terminate all and any services on its Sites without notice to you or liability. This may include imposing limits on your access to the Sites (or denying access altogether), adopting download restrictions or instituting other measures that iCentro in its sole judgment deems necessary or desirable.

No Warranties

iCentro makes no representation or warranties as to the accuracy, completeness or timeliness of information appearing on the Sites, all of which is provided on an “as is” basis. ICENTRO EXPRESSLY DISCLAIMS ALL REPRESENTATIONS, WARRANTIES AND CONDITIONS INCLUDING WITHOUT LIMITATION ALL IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, NON-INFRINGEMENT OF PROPRIETARY RIGHTS AND FITNESS FOR A PARTICULAR PURPOSE AND THOSE ARISING BY STATUTE OR OTHERWISE IN LAW OR FROM A COURSE OF DEALING OR USAGE IN TRADE.

iCentro does not control or warrant the accuracy, content or reliability of information prepared by third parties or its Members. Such information is included in iCentro’s Sites without warranty or representation solely to assist users and Members in locating web pages and other members to share information and announce opportunities. By its nature, this information can be incorrect, inaccurate, offensive or even harmful to the user and/or Member. Furthermore, such information may be incorrectly labeled or falsely labeled in such as way as to cause you damages or losses.

iCentro does not verify that parties whose information are included on its Sites is accurate, or the Members are who they claim to be. iCentro has no control over, and will not be responsible for, employment and hiring decisions made by employers and/or contractors whose opportunities are included, announced and/or referred to on iCentro sites. Your use of the Sites, and all information found on it, is done at your own risk. You release iCentro, its licensors. members and third parties mentioned on the Sites from all claims and damages relating to your use of the Sites. iCentro does not warrant that the Sites shall continue to operate, operate without interruptions, operate in a secure fashion or that it will be free of errors.

Limitation of Liability

UNDER NO CIRCUMSTANCES SHALL ICENTRO, ITS LICENSEES, MEMBERS OR ANY THIRD PARTY MENTIONED ON THE SITES BE LIABLE FOR ANY LOSS OR DAMAGES RELATED TO YOUR USE, MISUSE OR RELIANCE UPON THE SITES. This limitation of liability and disclaimer shall apply: (i) regardless of whether iCentro, its licensees, members or any third party mentioned on the Sites has received actual or deemed notice that the possibility of such loss or damage exists; (ii) regardless of the form of action (whether contract, tort or otherwise), relief claimed or remedy sought; (iii) to all losses and damages claimed, whether consequential, direct, indirect, special or punitive; and (iv) regardless of the failure of any remedy or the “essential purpose” of these Terms of Service. You agree that you download files and other materials via the Sites at your own risk and you will be solely responsible for any damages to your computer system or loss of data that results from such downloading. In any event, you agree that the maximum aggregate liability for all damages shall be limited to the sum of CAN$100, even where multiple causes of action may exist. The parties agree that this limitation of liability clause has been included to permit the parties to fairly allocate risks between them and to make the Sites free and accessible for as many users as possible. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR SPECIAL DAMAGES AND, WHERE THIS EXISTS, PORTIONS OF THIS LIMITATION OF LIABILITY MAY NOT APPLY TO YOU.

Amendments

iCentro reserves the right to amend these Terms of Service from time to time without notice to you. After any such amendment, continued use of the Sites will constitute acceptance of the amended Terms of Service. These Terms of Service constitute the entire agreement between the parties with respect to the Sites and replaces all other agreements, whether written or otherwise, that relate in any way to the Sites. Any waiver of, or release from, these Terms of Service shall not be binding on iCentro unless executed in writing by its President and General Counsel.

Governing Law & Miscellaneous

These Terms of Service are governed by the laws of Ontario and the federal laws of Canada applicable therein. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms of Service. If any of these Terms of Service is found to be unenforceable or invalid, the remaining provisions shall survive and remain enforceable. The headings in these Terms of Service are included for convenience of reference only.
